Terms of Service

These Terms of Service ("Terms") govern your access to and use of IdeaCouncil, including the website, authenticated dashboard, and any related services. By creating an account or using the service, you agree to these Terms.
1. Eligibility and account responsibilities
- You must be legally able to enter into a binding agreement to use IdeaCouncil.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for activity that occurs under your account, whether authorized or not.
- You agree to provide accurate account information and keep it reasonably up to date.
2. Acceptable use
You agree not to use IdeaCouncil to:
- Violate laws, regulations, or third-party rights.
- Upload malicious code, attempt unauthorized access, or interfere with service operations.
- Reverse engineer, scrape at scale, or abuse API and product limits.
- Submit content you do not have the right to use or disclose.
3. User content and workspace data
You retain ownership of the prompts, inputs, and materials you submit. You grant IdeaCouncil a limited license to host, process, and display that data solely to operate and improve the service for you.
You are responsible for the legality, accuracy, and appropriateness of the content you provide.
4. AI-generated output
IdeaCouncil may generate summaries, recommendations, and verdicts using AI systems. Outputs are provided for informational support and do not constitute legal, tax, financial, or investment advice.
You are responsible for reviewing outputs before making business decisions.
5. Billing, plans, and cancellations
- Paid features are offered under published plan limits and pricing.
- Subscriptions may renew automatically until canceled.
- You can cancel future renewals through account settings or the billing portal.
- Unless required by law, fees already paid are non-refundable.
6. Intellectual property
IdeaCouncil, including software, branding, and product design, is owned by IdeaCouncil and protected by intellectual property laws. Except for rights expressly granted in these Terms, no rights are transferred to you.
7. Suspension and termination
We may suspend or terminate access if we reasonably believe your use violates these Terms, creates security risk, or may cause harm. You may stop using IdeaCouncil at any time.
8. Disclaimer of warranties
IdeaCouncil is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee uninterrupted availability, complete accuracy of AI output, or fitness for a specific purpose.
9. Limitation of liability
To the extent permitted by law, IdeaCouncil and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
Our total liability for claims related to the service is limited to the amount you paid to IdeaCouncil in the 12 months before the claim arose.
10. Indemnification
You agree to indemnify and hold harmless IdeaCouncil from claims, liabilities, and expenses arising from your content, your misuse of the service, or your violation of these Terms.
11. Changes to service or terms
We may modify features, pricing, or these Terms from time to time. When legally required, we will provide advance notice. Continued use after changes become effective means you accept the revised Terms.
12. Governing law
These Terms are governed by applicable laws of the jurisdiction where IdeaCouncil operates, without regard to conflict-of-law principles, unless mandatory local law requires otherwise.
